14 March 2008. The new Supervisory Board of BRE Bank elected Mariusz Grendowicz as President of the Management Board of BRE Bank SA. He will replace Sławomir Lachowski, who was President from November 2004 to March 2008.
The new Supervisory Board of BRE Bank also appointed new members of the Management Board of BRE Bank including Andre Carls, PhD, Vice President and CFO replacing Jerzy Jóźkowiak, and Christian Rhino, Member of Board and Operations and IT Managing Director replacing Rainer Ottenstein.
Members of Board elected for another term of office also include Wiesław Thor, Vice President and Head of Risk; Bernd Loewen, Member of Board and Head of Investment Banking; and Jarosław Masztalerz, Member of Board and Head of Retail Banking. Janusz Wojtas, Member of Board and Head of Corporate Banking, left the position when his term of office expired.
The ordinary General Meeting of BRE Bank held on the same day decided to appoint three new members of the Supervisory Board of BRE Bank including Waldemar Stawski, Marek Wierzbowski and Martin Zielke. Members of Supervisory Board elected for another term of office include Maciej Leśny, Martin Blessing, Achim Kassow, Teresa Mokrysz, Michael Schmid and Jan Szomburg. The Supervisory Board includes five independent members. Others represent Commerzbank, the majority shareholder.

Mariusz Grendowicz
Aged 47. He was Vice President of the Management Board of BPH in charge of Corporate Banking and Real Property Financing since 2001. His career in the international banking sector started in 1983 at Grindlays Bank in London subsequently acquired by Australia and New Zealand Banking Group where he worked until 1991. In 1991 and 1992, he worked for Citibank in London. In 1992-1997, he was employed by ING Bank and worked in Poland (1992-1995) and in Hungary (1995-1997). From 1997 to 2000 he was a member of the Management Board of ABN AMRO Bank Polska. His latest positions with that bank included President of the Management Board and head of ABN AMRO Group in Poland.
Mariusz Grendowicz studied economics of transports at the University of Gdańsk. He also completed a course in banking in the United Kingdom and obtained a diploma in international banking from The Chartered Institute of Bankers in London.
Andre Carls, PhD
He was born in 1963. He used to be President of the Management Board of .comdirect bank AG in charge of business development, marketing, sales, service and corporate communications. His other positions include Deputy President of the Supervisory Board .comdirect private finance AG, a subsidiary, and a member of Board of the Frankfurt Stock Exchange.
After completion of studies in economics and obtaining the PhD degree from the University of Cologne, he began to work for Commerzbank in 1990 as a part of an international training programme. His job included various positions in Corporate Finance and Capital Markets. He contributed to the extension of the investment banking branch of Commerzbank in London in 1998-2000. He has been a member of the Management Board of .comdirect bank AG from December 2000.
Christian Rhino
He has been working for Commerzbank since 2001. He was Global Head Trade Finance & Transaction Services in the Corporate Banking area. His earlier positions included European Head Trade Finance & Transaction Services and Corporate Banking Managing Director in the Corporate Banking area of Commerzbank AG. He worked for Deutsche Bank AG in 1998-2001, first as e-commerce coordinator and then as eBusiness Department Service Director where he supervised the launch of the first e-commerce centre of Deutsche Bank AG. Finally, he became Vice President in charge of Corporate Banking.
Waldemar Stawski
He has been consultant to the Management Board of CTL Logistics SA since June 2007. He was General Director of the Polish Association of Transports and Logistics Employers in 2006-2007. He was earlier a member of the Management Board of CTL Logistics SA. In 2002-2003, he chaired the Receivership Board at Wschodni Bank Cukrownictwa SA where he prepared and implemented the rehabilitation programme for the Commission for Banking Supervision. In 1995-2002, he worked for Powszechna Kasa Oszczędności Bank Polski SA in the positions of the Gdański Regional Branch Manager and, subsequently, Vice President of the Management Board. He graduated from the Electrical Engineering faculty of the Gdańsk University of Technology. He also studied at the Maritime University of Gdynia and the University of Gdańsk.
Professor Marek Wierzbowski
He is professor at the University of Warsaw, a legal counsel, a partner at Prof. Marek Wierzbowski Radcowie Prawni Spółka Partnerska legal office, a member of the Public Procurement Board, a member of the National Board for Scientific Degrees and Titles, vice chairman of the Board of Giełda Papierów Wartościowych SA (Warsaw Stock Exchange), a member of supervisory boards of several companies and the president of the Court of the Chamber of Brokerage Houses. Professor Wierzbowski was a vice dean of the Faculty of Law and Administration and a vice rector of the University of Warsaw. He used to chair the Stock Exchange Board and was a vice chairman of the Arbitration Court of the National Chamber of Economy. He was a senior partner in international law offices including Weil Gotshal & Manges and Linklaters for many years. He represented the Securities and Exchanges Commission and the Commission for Banking Supervision in proceedings before the Supreme Administrative Court.
Professor Wierzbowski was a visiting professor at faculties of law of US universities for periods not shorter than one semester.
Martin Zielke
He has been a member of the Management Board of Eurohypo Aktiengesellschaft, Eschborn since 1 April 2006. He has also been Group Manager in the Group Finance Department of Commerzbank AG in Frankfurt am Main since 1 February 2008. He was Retail Banking and Corporate Banking Group Manager for Commerzbank AG in Frankfurt am Main in 2002-2006. In 2000-2001, he was Portfolio Investments Regional Manager and then Retail Banking Financing Regional Manager for Deutsche Hyp, Frankfurt am Main. He earlier worked in retail banking managerial positions at Dresdner Bank AG, Frankfurt am Main, for ten years. He is economist and holder of MBA degree from the Göttingen University.
